1. Introduction

Welcome to Twilly ("we," "our," or "us"). Twilly is a subscription-based content platform that enables creators and producers to stream live video content, organize episodes into channels, set up paid subscriptions, and earn revenue through viewer subscriptions or pay-per-view content.

By accessing or using Twilly's services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

2. Definitions

• "Creator" means any user who creates, uploads, or streams content on Twilly.
• "Producer" means a Creator who has established a channel and can invite Collaborators.
• "Collaborator" means a Creator invited by a Producer to contribute content to a channel.
• "Viewer" means any user who consumes content on Twilly through subscriptions or individual purchases.
• "Channel" means a subscription-based content collection created by a Producer.
• "Episode" means individual content pieces created through start/stop streaming or uploaded content.
• "Content" means any video, audio, text, images, or other materials uploaded or streamed on Twilly.
• "Subscription" means a recurring payment for access to a Creator's or Producer's channel.
• "Pay-Per-View (PPV)" means individual content purchases by Viewers.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old to use Twilly. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

3.2 Account Creation

To access certain features, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.3 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Creator and Producer Responsibilities

4.1 Content Ownership

Creators and Producers retain ownership of their original content. By uploading or streaming content, you grant Twilly a worldwide, non-exclusive, royalty-free license to host, display, and distribute your content on our platform.

4.2 Content Standards

All content must comply with our Community Guidelines and Acceptable Use Policy. You are solely responsible for ensuring your content does not violate any laws or third-party rights.

4.3 Collaborator Management

Producers are responsible for managing their Collaborators and ensuring all Collaborator content complies with our policies. Producers may be held accountable for violations committed by their Collaborators.

4.4 Streaming and Episode Creation

When using our start/stop streaming feature, you acknowledge that:

• Episodes are automatically created from your live streams
• You are responsible for all content within your episodes
• Episodes become part of your channel's content library
• You can edit episode metadata but not the core content

5. Monetization and Payments

5.1 Stripe Connect Integration

Twilly uses Stripe Connect for payment processing. By monetizing content, you agree to:

• Complete Stripe's Know Your Customer (KYC) verification
• Comply with Anti-Money Laundering (AML) requirements
• Provide accurate tax information
• Maintain compliance with Stripe's terms of service

5.2 Revenue Sharing

• Producer Revenue: Producers receive a percentage of subscription and PPV revenue from their channels
• Collaborator Revenue: Collaborators receive a percentage of revenue from content they contribute, as determined by the Producer
• Platform Fees: Twilly retains a percentage of all transactions as platform fees
• Payout Schedule: Revenue is paid out according to our Creator Terms

5.3 Subscription and PPV Mechanics

• Subscriptions: Recurring payments for channel access
• PPV: One-time purchases for individual content
• Refunds: Governed by our Refund Policy
• Taxes: Creators are responsible for their own tax obligations

6. Prohibited Content and Activities

6.1 Illegal Content

You may not upload, stream, or share content that:

• Violates any applicable laws or regulations
• Infringes on intellectual property rights
• Contains illegal drugs, weapons, or criminal activities
• Promotes violence, terrorism, or hate speech

6.2 Harmful Content

Content that is abusive, harassing, threatening, or harmful to individuals or groups is strictly prohibited.

6.3 Platform Abuse

You may not:

• Attempt to circumvent payment systems
• Create multiple accounts to evade restrictions
• Use automated tools to manipulate the platform
• Engage in fraudulent activities

7. Intellectual Property

7.1 Your Rights

You retain ownership of your original content. You grant Twilly a license to host and distribute your content on our platform.

7.2 Our Rights

Twilly retains ownership of our platform, technology, and brand. You may not use our intellectual property without permission.

7.3 Copyright Infringement

If you believe your copyright has been infringed, please follow our Copyright Policy (DMCA) procedures.

8. Termination

8.1 Termination by You

You may terminate your account at any time by contacting our support team.

8.2 Termination by Us

We may terminate or suspend your account immediately if you:

• Violate these Terms
• Engage in illegal activities
• Fail to comply with our policies
• Provide false information

8.3 Effect of Termination

Upon termination:

• Your access to Twilly services will cease
• Your content may be removed
• Outstanding payments will be processed according to our policies
• Your data will be handled according to our Privacy Policy

9. Disclaimers and Limitations

9.1 Service Availability

Twilly provides services "as is" and "as available." We do not guarantee uninterrupted access to our platform.

9.2 Content Accuracy

We do not verify the accuracy, completeness, or usefulness of user-generated content.

9.3 Limitation of Liability

To the maximum extent permitted by law, Twilly shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms are governed by the laws of the United States and the state where Twilly is incorporated.

10.2 Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the American Arbitration Association rules.
